Useful documents
All charities have a formal governing document, such as a Trust Deed or Articles of Association. All NHS Boards in Scotland have as their statutory remit powers to hold and use trust funds including funds held for charitable purposes. The charitable object and the equivalent “governing document” for the Health Foundation is the 1978 NHS (Scotland) Act. As an extension to this legislation, the Trustees drew up a Charter in 2011. The role of Trustee is quite distinct from the role and remit as a member of the health board and all Trustees are inducted on appointment.
A large proportion of our funds are held as Specific Funds, held for specific purposes related to use (for example patient welfare, research), location (for example ward, department, or distinct area of research). Each fund has a steward, appointed at the discretion of Trustees, to oversee the fund. A Guide to Accessing and Supporting Funds is issued to all stewards, to help them in their duty.
The Trustee Role Description describes general and specific duties of trustees and investment powers of trustees, and the code of Conduct provides a structure for the responsibilities and expectations of the trustees to help avoid or address problems. Both documents were introduced in 2014.
